TITEL I. ALGEMENE VOORWAARDEN VOOR DIENSTVERLENING
Artikel 1: Toepassingsgebied, identificatie en rangorde
1. Deze algemene voorwaarden zijn van toepassing op alle professionele relaties tussen MLL Boekhouding GROUP BV, gevestigd te 3350 Linter, Grote Steenweg 53, met ondernemingsnummer (BE) 1022.284.681, RPR Leuven en ITAA-nummer 53.437.603, handelend onder de naam MLL Boekhouding, hierna de ‘Dienstverlener’, en haar klanten, hierna de ‘Klant’. Zij gelden eveneens voor alle met de Dienstverlener verbonden vennootschappen in de zin van artikel 1:20 van het Wetboek van Vennootschappen en Verenigingen, voor zover zij tussenkomen in de dienstverlening.
2. Deze voorwaarden zijn van toepassing op alle accountancy-, boekhoudkundige, fiscale, juridische, familiale, vermogensrechtelijke en adviesopdrachten, alsook op alle aanvullende, occasionele of voorbereidende prestaties, behoudens uitdrukkelijke en schriftelijke afwijking.
3. Voor opleidingen, seminaries, trainingen, coaching, events en gelijkaardige activiteiten gelden aanvullend de bijzondere voorwaarden opgenomen in Titel II. Bij tegenstrijdigheid hebben deze bijzondere voorwaarden voorrang voor die specifieke diensten.
4. In geval van tegenstrijdigheid tussen de opdrachtbrief of een bijzondere schriftelijke overeenkomst en deze algemene voorwaarden, heeft de opdrachtbrief of bijzondere overeenkomst voorrang. De algemene voorwaarden van de Klant worden uitdrukkelijk uitgesloten, ook wanneer zij later zouden worden meegedeeld.
5. MLL Boekhouding kan enkel aansprakelijk worden gesteld voor opdrachten waarvan wordt aangetoond dat zij door de Dienstverlener uitdrukkelijk werden aanvaard.
Artikel 2: Totstandkoming en aanvang van de overeenkomst
1. Behoudens andersluidende bepaling komt de overeenkomst tot stand op het ogenblik waarop de Dienstverlener de door de Klant ondertekende opdrachtbrief ontvangt en deze zelf medeondertekent, of op het ogenblik waarop de Dienstverlener op verzoek van de Klant met de uitvoering van de opdracht start.
2. Wanneer de opdrachtbrief of deze algemene voorwaarden aan de Klant werden bezorgd en de Dienstverlener op verzoek van de Klant prestaties levert, worden deze voorwaarden geacht door de Klant te zijn aanvaard, ook indien de opdrachtbrief nog niet door alle partijen werd ondertekend.
3. De opdracht vangt niet noodzakelijk aan op de datum van ondertekening, maar op de datum waarop de Dienstverlener effectief de eerste prestaties levert of heeft geleverd, zoals desgevallend vermeld in de opdrachtbrief.
Artikel 3: Aard en omvang van de opdracht
1. De concrete opdrachten worden bepaald in de opdrachtbrief, in een afzonderlijke offerte of in een andere schriftelijke bevestiging. De Dienstverlener is niet gehouden tot prestaties die niet uitdrukkelijk binnen de aanvaarde opdracht vallen.
2. De opdracht houdt nooit een inmenging in het beheer, de beleidsbeslissingen of de strategische keuzes van de Klant in. De Klant blijft als enige verantwoordelijk voor zijn beslissingen, activiteiten, boekhouding, fiscale keuzes, kaspositie, verplichtingen en de daaruit voortvloeiende gevolgen of resultaten.
3. De verbintenissen van de Dienstverlener zijn, behoudens dwingende wettelijke bepalingen, middelenverbintenissen. MLL Boekhouding verbindt zich ertoe de opdrachten naar best vermogen uit te voeren.
De Dienstverlener zal de diensten leveren met inachtneming van de op haar toepasselijke deontologische en beroepsnormen van het ITAA, evenals de wetgeving en regelgeving die, voor zover van toepassing op de betrokken opdracht, van kracht zijn op het tijdstip van de uitvoering van de overeenkomst.
4. De opdracht is, behoudens uitdrukkelijke schriftelijke afspraak of wettelijke verplichting, niet specifiek gericht op het ontdekken van fraude, onregelmatigheden, tekortkomingen, fouten of onvolledigheden in de door de Klant bezorgde informatie.
Artikel 4: Duur, recurrente en niet-recurrente opdrachten
1. Recurrente opdrachten zijn opdrachten die periodiek of terugkerend worden uitgevoerd. Zij worden, behoudens andersluidende bepaling, aangegaan voor onbepaalde duur.
2. Recurrente opdrachten kunnen door elke Partij worden beëindigd met een opzegtermijn van één maand, tenzij in de opdrachtbrief of schriftelijk tussen Partijen anders werd overeengekomen. De beëindiging gebeurt per aangetekend schrijven. De opzegtermijn vangt aan op de derde kalenderdag na de verzenddatum van het aangetekend schrijven, tenzij in de opdrachtbrief of schriftelijk tussen Partijen anders werd bepaald.
3. Niet-recurrente opdrachten zijn eenmalige opdrachten waarvan de uitvoering een einde maakt aan de opdracht. Zij eindigen door voltooiing van de overeengekomen prestaties.
4. Bij vroegtijdige beëindiging van een niet-recurrente opdracht door de Klant is de Klant gehouden tot betaling van alle reeds geleverde prestaties, kosten, voorschotten en uitgaven, vermeerderd met een forfaitaire schadevergoeding van 30% van het niet-uitgevoerde deel, onverminderd het recht van de Dienstverlener om hogere werkelijk geleden schade te bewijzen.
5. Forfaits blijven verschuldigd tot het effectieve einde van de opdracht, met inbegrip van de toepasselijke opzegtermijn. Prestaties na het einde van de opdracht of prestaties die betrekking hebben op vroegere periodes kunnen afzonderlijk worden gefactureerd.
Artikel 5: Onmiddellijke beëindiging en schorsing
1. De Dienstverlener kan de overeenkomst onmiddellijk, zonder opzegtermijn en zonder schadevergoeding beëindigen wanneer de verdere samenwerking redelijkerwijs onmogelijk wordt, onder meer bij verlies of bedreiging van haar onafhankelijkheid, deontologische of wettelijke belemmeringen, niet-betaling, structurele betalingsachterstand, gebrek aan medewerking, onvolledige of onjuiste informatie, wijziging van het risicoprofiel, antiwitwasproblemen, faillissement, vereffening, staking van betaling, gerechtelijke reorganisatie of stopzetting van activiteiten van de Klant.
2. Wanneer de onmiddellijke beëindiging het gevolg is van een tekortkoming van de Klant, kan de Dienstverlener deze beëindiging laten voorafgaan door een ingebrekestelling of waarschuwing, voor zover dit redelijkerwijs vereist of nuttig is.
3. Bij niet-nakoming, niet-correcte of niet-tijdige uitvoering door de Klant van een verplichting, waaronder niet- betaling van facturen of voorschotten, mag de Dienstverlener haar prestaties opschorten of uitstellen tot de Klant volledig aan zijn verplichtingen heeft voldaan. De Dienstverlener brengt de Klant hiervan schriftelijk op de hoogte.
4. Alle kosten, boetes, interesten, vergoedingen, schade en nadelige gevolgen die voortvloeien uit de beëindiging, schorsing of het uitstel wegens een tekortkoming van de Klant, zijn uitsluitend ten laste van de Klant.
Reeds geleverde prestaties blijven volledig verschuldigd.
Artikel 6: Verplichtingen van de Klant
1. De Klant verbindt zich ertoe om tijdig, volledig, juist, gestructureerd en op de afgesproken wijze alle documenten, gegevens, toelichtingen en inlichtingen te bezorgen die nodig zijn voor de uitvoering van de opdracht.
2. De Klant blijft verantwoordelijk voor de juistheid, volledigheid, betrouwbaarheid, bewaring en wettelijkheid van de door hem of voor zijn rekening bezorgde informatie, documenten, akten, contracten, inventarissen, facturen en bewijsstukken. De Dienstverlener is niet verplicht deze gegevens inhoudelijk te controleren, tenzij uitdrukkelijk schriftelijk anders overeengekomen.
3. De Klant controleert de documenten, aangiften, rapporten, overzichten en ontwerpen die de Dienstverlener ter beschikking stelt en meldt eventuele opmerkingen, fouten of onvolledigheden onmiddellijk schriftelijk.
4. De Klant meldt onmiddellijk elke wijziging die de uitvoering van de opdracht kan beïnvloeden, waaronder wijzigingen in contactgegevens, activiteiten, aandeelhouderschap, bestuur, uiteindelijke begunstigden, financiële situatie, kaspositie, betalingsproblemen, sociale of fiscale schulden en mandaten.
5. Indien de Klant zijn verplichtingen of termijnen niet nakomt, is de Dienstverlener niet aansprakelijk voor laattijdige indieningen, boetes, interesten, belastingverhogingen, sancties of andere gevolgen die hieruit voortvloeien.
Artikel 7: Documenten, bewaring, volmachten en digitale platformen
1. De Klant blijft verantwoordelijk voor de bewaring van alle boekhoudkundige, fiscale, juridische en administratieve stukken, boeken en bescheiden, ongeacht of deze fysiek, digitaal, via een softwarepakket, portaal, mailbox, access point of ander digitaal platform worden aangeleverd, overgemaakt of ter beschikking gesteld. Dit geldt eveneens voor stukken en documenten die door de Dienstverlener aan de Klant worden terugbezorgd of digitaal ter beschikking worden gesteld.
2. Indien de Klant, ondanks voorafgaande kennisgeving door de Dienstverlener, nalaat om zijn stukken, boeken of documenten op te halen, te downloaden, te bewaren, terug te nemen of in ontvangst te nemen, mag de Dienstverlener deze stukken terugbezorgen of ter beschikking stellen op de wijze die zij nuttig acht, op exclusieve kosten en onder uitsluitende verantwoordelijkheid van de Klant.
3. De Klant is als enige verantwoordelijk voor het tijdig verlenen, beheren, opvolgen, wijzigen en, indien nodig, intrekken van alle volmachten, mandaten, machtigingen, toegangen en bevoegdheden van welke aard ook die vereist of nuttig zijn voor de uitvoering van de opdracht.
4. De Dienstverlener treedt uitsluitend op binnen de grenzen van de door de Klant verleende volmachten, mandaten, machtigingen, toegangen en bevoegdheden. De Dienstverlener kan in geen geval verantwoordelijk of aansprakelijk worden gesteld voor het ontbreken, de onjuistheid, de ongeldigheid, de laattijdigheid, de onvolledigheid, de niet-actualiteit of de niet-tijdige intrekking daarvan.
5. Alle gevolgen die voortvloeien uit het niet, laattijdig, onjuist, onvolledig of niet-actueel verlenen, beheren, opvolgen, wijzigen of intrekken van volmachten, mandaten, machtigingen, toegangen of bevoegdheden komen uitsluitend ten laste van de Klant.
6. Bij het einde van de opdracht worden de boeken en documenten die eigendom zijn van de Klant ter beschikking gesteld van de Klant of diens mandataris, desgevallend middels het opmaken van een gedateerde en ondertekende inventaris in evenveel originele exemplaren als er Partijen zijn.
7. Het einde van de opdracht leidt, behoudens andersluidende wettelijke of contractuele verplichting, tot de intrekking, stopzetting of deactivering van de aan de Dienstverlener verleende mandaten, volmachten, machtigingen, toegangen en bevoegdheden, waaronder onder meer mandaten voor de indiening van aangiftes in de personenbelasting, vennootschapsbelasting en btw, de neerlegging van de jaarrekening, toegang tot het UBO-register of enige andere vorm van vertegenwoordiging.
8. Onverminderd zijn overige verplichtingen vereist het einde van de opdracht dat de Klant al zijn boekhoudkundige stukken, boeken en documenten onmiddellijk terugneemt, downloadt, bewaart of in ontvangst neemt op de wijze waarop deze door de Dienstverlener ter beschikking worden gesteld.
9. Voor elektronische facturatie, Peppol, access points en UBL-bestanden blijft de Klant verantwoordelijk voor het beheer, de opvolging, de inhoud en de wettelijke bewaring. De Dienstverlener kan, indien zij daarvoor mandaat krijgt, een access point activeren, deactiveren of wijzigen, maar neemt het beheer, de opvolging, de inhoudelijke controle of de bewaring ervan niet over.
10. Eventuele kosten die verbonden zijn aan het activeren, wijzigen, deactiveren, ter beschikking houden of beheren van een access point, digitaal platform, softwaretoegang of mandaat kunnen afzonderlijk aan de Klant worden gefactureerd.
Artikel 8: Erelonen, kosten, voorschotten en prestaties voor opstart
1. De erelonen en kosten worden vastgesteld zoals bepaald in de opdrachtbrief, offerte, bijzondere overeenkomst of factuur. Bij gebrek daaraan worden zij bepaald op basis van de aard, omvang, moeilijkheidsgraad, dringendheid, verantwoordelijkheid, vereiste competenties, tijdsbesteding en het volume van de opdracht.
2. Alle tarieven zijn exclusief btw, tenzij uitdrukkelijk anders vermeld. Externe kosten, voorschotten, publicatiekosten, kosten van ondernemingsloketten, wettelijke boeken, verplaatsingskosten, portaal- of softwarekosten, vertaalkosten en andere uitgaven ten behoeve van de Klant worden afzonderlijk aangerekend of doorgerekend.
3. De Dienstverlener kan één of meerdere voorschotten vragen en mag haar prestaties aanvatten, opschorten of verderzetten afhankelijk van de betaling daarvan. Voorschotten worden verrekend in de definitieve kosten- en ereloonstaat.
4. Wanneer prestaties worden geleverd voor rekening van een onderneming, vennootschap, vereniging, vzw, eenmanszaak of andere organisatie die nog niet rechtsgeldig werd opgericht, opgestart, ingeschreven of geactiveerd, zijn de personen die de opdracht hebben gegeven persoonlijk, hoofdelijk en ondeelbaar gehouden tot betaling van alle erelonen, kosten, voorschotten en uitgaven, ook indien de betrokken organisatie uiteindelijk niet wordt opgericht, opgestart, ingeschreven of geactiveerd.
5. Bij gebrek aan andere betalingsgegevens zijn betalingen te verrichten op het rekeningnummer van MLL Boekhouding, thans IBAN BE30 7310 6615 7611.
Artikel 9: Betaling, interesten, schadevergoeding en invordering
1. Facturen en ereloonnota’s zijn betaalbaar binnen 30 kalenderdagen na factuurdatum, tenzij de factuur, opdrachtbrief of bijzondere overeenkomst een andere termijn vermeldt.
2. Elke niet-betaalde factuur brengt van rechtswege en zonder voorafgaande ingebrekestelling interest op vanaf de vervaldag. Voor ondernemingen geldt minstens de interestvoet bepaald in artikel 5 van de wet van 2 augustus 2002 betreffende de bestrijding van de betalingsachterstand bij handelstransacties, behoudens hogere contractuele of wettelijke interest.
3. Bij laattijdige betaling is de Klant bovendien van rechtswege en zonder ingebrekestelling een forfaitaire schadevergoeding verschuldigd van 10% van het onbetaalde bedrag, met een minimum van 250,00 EUR per factuur, onverminderd het recht van de Dienstverlener om hogere werkelijk geleden schade, gerechtskosten en invorderingskosten te vorderen.
4. Alle gerechtelijke en buitengerechtelijke invorderingskosten, administratiekosten, aanmaningskosten, deurwaarderskosten, advocatenkosten en andere kosten die voortvloeien uit niet-betaling zijn ten laste van de Klant, voor zover toegestaan door dwingend recht.
5. Bij niet-betaling van een factuur op de vervaldag worden alle andere openstaande, zelfs nog niet-vervallen, facturen onmiddellijk opeisbaar. Betalingen worden eerst toegerekend op kosten, daarna op interesten en schadevergoedingen, en vervolgens op de hoofdsom, tenzij de Dienstverlener anders beslist.
6. De Klant mag betaling niet opschorten, verminderen of compenseren met een beweerde tegenvordering, behalve na voorafgaande schriftelijke toestemming van de Dienstverlener of wanneer dwingend recht dit oplegt.
7. Een elektronische factuur die via Peppol of een ander wettelijk erkend elektronisch facturatienetwerk wordt verzonden, wordt geacht rechtsgeldig te zijn verzonden en ontvangen op de datum die blijkt uit het betrokken netwerk of de audit trail. Een eventuele bijkomende verzending per e-mail of via een ander kanaal heeft louter informatief karakter en doet geen afbreuk aan de rechtsgeldigheid of betalingstermijn van de elektronische factuur.
Artikel 10: Betwisting van facturen en prestaties
1. Elke betwisting van een factuur, ereloonnota, kostenstaat of aangerekende prestatie moet, op straffe van verval, binnen 7 kalenderdagen na factuurdatum bij aangetekend schrijven aan de Dienstverlener worden meegedeeld, met een duidelijke en gemotiveerde omschrijving van de betwisting.
2. Bij gebrek aan tijdige en geldige betwisting wordt de factuur, ereloonnota, kostenstaat of prestatie definitief en onherroepelijk aanvaard en wordt de schuldvordering als zeker, vaststaand en opeisbaar beschouwd.
3. Een gedeeltelijke betwisting ontslaat de Klant niet van de verplichting om het niet-betwiste gedeelte tijdig te betalen.
Artikel 11: Aansprakelijkheid en vrijwaring
1. MLL Boekhouding kan enkel aansprakelijk worden gesteld voor schade die het rechtstreekse gevolg is van haar eigen opzettelijke fout of zware fout, binnen de grenzen van de toepasselijke wetgeving.
2. De aansprakelijkheid van MLL Boekhouding is steeds beperkt tot de bedragen die daadwerkelijk worden gedekt en uitbetaald door haar beroepsaansprakelijkheidsverzekering. Indien de verzekering niet tussenkomt, is de aansprakelijkheid beperkt tot maximaal éénmaal het ereloon dat door de Klant werd betaald voor de betrokken opdracht tijdens de twaalf maanden voorafgaand aan het schadeverwekkend feit.
3. De Dienstverlener is niet aansprakelijk voor indirecte schade, gevolgschade, verlies van winst, omzet, goodwill, klanten, commerciële opportuniteiten, gegevens, verwachte besparingen of voordelen, noch voor boetes, belastingverhogingen, interesten of sancties die voortvloeien uit een tekortkoming van de Klant.
4. De Dienstverlener is niet aansprakelijk voor fouten, tekortkomingen of schade veroorzaakt door onjuiste, onvolledige, laattijdige of misleidende informatie van de Klant of derden, door beslissingen van de Klant, door software, digitale platformen, overheidsportalen, banken, sociale secretariaten, overheden of andere externe partijen.
5. Wanneer meerdere schadegevallen het gevolg zijn van dezelfde fout of oorzaak, worden zij beschouwd als een enkel schadegeval. De Klant vrijwaart MLL Boekhouding tegen aanspraken van derden die verband houden met door haar uitgevoerde opdrachten, behalve in geval van opzettelijke fout of zware fout van MLL Boekhouding.
6. Elke aanspraak van de Klant op MLL Boekhouding vervalt, behoudens dwingend recht, indien zij niet schriftelijk en gemotiveerd wordt ingesteld binnen één jaar nadat de Klant het schadeverwekkend feit heeft ontdekt of redelijkerwijs had moeten ontdekken.
Artikel 12: Hulppersonen, medewerkers en buitencontractuele aansprakelijkheid
1. De Dienstverlener mag voor de uitvoering van haar opdrachten een beroep doen op werknemers, aangestelden, zelfstandige medewerkers, externe dienstverleners, onderaannemers, softwareleveranciers en andere hulppersonen waarvan zij redelijkerwijs oordeelt dat zij kunnen bijdragen aan de opdracht.
2. Binnen de wettelijke grenzen erkent de Klant dat schade wegens niet-nakoming van contractuele verplichtingen uitsluitend aanleiding kan geven tot een contractuele vordering tegen MLL Boekhouding, en niet tot een buitencontractuele vordering tegen haar bestuurders, werknemers, aangestelden, zelfstandige medewerkers, onderaannemers of andere hulppersonen, zelfs indien de onderliggende feiten ook een buitencontractuele fout zouden kunnen uitmaken.
3. Alle aansprakelijkheidsbeperkingen, uitsluitingen en verweermiddelen waarop MLL Boekhouding zich kan beroepen, kunnen eveneens worden ingeroepen door haar bestuurders, werknemers, aangestelden, zelfstandige medewerkers, onderaannemers en andere hulppersonen.
Artikel 13: Antiwitwas, Klantenacceptatie en meldingsplicht
1. De Dienstverlener is onderworpen aan de wetgeving inzake de voorkoming van het gebruik van het financiële stelsel voor het witwassen van geld en de financiering van terrorisme. De Klant verbindt zich ertoe alle in dat kader gevraagde informatie en documenten onmiddellijk, juist en volledig te bezorgen.
2. De Klant moet de Dienstverlener onmiddellijk informeren over wijzigingen in identiteit, bestuur, aandeelhouderschap, uiteindelijke begunstigden, activiteiten, risicoprofiel, financiering of andere relevante gegevens.
3. Indien de Klant onvoldoende meewerkt, informatie weigert of indien de Dienstverlener op grond van haar wettelijke of deontologische verplichtingen de samenwerking niet kan aanvatten of verderzetten, mag zij de opdracht weigeren, opschorten of onmiddellijk beëindigen zonder schadevergoeding.
4. De Dienstverlener kan wettelijk verplicht zijn bepaalde informatie te melden aan bevoegde autoriteiten. De Klant erkent dat de Dienstverlener in dat geval geen beroepsgeheim of contractuele vertrouwelijkheid kan inroepen tegenover die wettelijke meldingsplicht.
Artikel 14: Elektronische communicatie, software en gegevensuitwisseling
1. Partijen aanvaarden het gebruik van e-mail, elektronische handtekeningen, klantenportalen, boekhoudsoftware, cloudtoepassingen, overheidsportalen en andere digitale communicatiemiddelen voor de uitvoering van de opdracht.
2. Elektronische communicatie houdt risico’s in, waaronder verlies, vertraging, vergissing, onderschepping, beschadiging, phishing, malware, technische storing of onbevoegde toegang. De Klant aanvaardt deze risico’s en is verantwoordelijk voor de beveiliging van zijn eigen systemen, mailboxen, toegangen, wachtwoorden en gebruikersrechten.
3. De Dienstverlener is niet aansprakelijk voor schade die voortvloeit uit technische storingen, cyberincidenten, onbeschikbaarheid, fouten of wijzigingen van software, platformen, netwerken, access points, banktoepassingen of overheidsportalen, tenzij in geval van opzettelijke fout of zware fout van MLL Boekhouding.
Artikel 15: Vertrouwelijkheid, beroepsgeheim en intellectuele eigendom
1. De Dienstverlener leeft het beroepsgeheim en haar vertrouwelijkheidsverplichtingen na overeenkomstig de toepasselijke wetgeving, de beroepsregels en de deontologische verplichtingen die op haar van toepassing zijn, behoudens wettelijke of deontologische uitzonderingen, waaronder de antiwitwasverplichtingen.
2. De Dienstverlener verbindt zich ertoe zich te onthouden van het onrechtmatig gebruik of de onrechtmatige openbaarmaking van enig bedrijfsgeheim in de zin van artikel I.17/1, 1°, van het Wetboek van Economisch Recht, waarvan zijzelf, haar bestuurders, werknemers, aangestelden, zelfstandige medewerkers, onderaannemers of andere hulppersonen kennis hebben gekregen tijdens de uitvoering van de opdracht, overeenkomstig artikel XI.332/4 van hetzelfde Wetboek.
3. De Dienstverlener verbindt zich ertoe geen vertrouwelijke handelsinformatie, vertrouwelijke gegevens, persoonlijke aangelegenheden of andere niet-publieke informatie met betrekking tot de Klant, waarvan zij kennis neemt in het kader van de Dienstverlening, aan derden kenbaar te maken of openbaar te maken, behoudens voor zover dit noodzakelijk is voor de uitvoering van de opdracht, wettelijk of deontologisch vereist is, of door de Klant werd toegestaan.
4. De Dienstverlener ziet erop toe dat haar bestuurders, werknemers, aangestelden, zelfstandige medewerkers, onderaannemers of andere hulppersonen die toegang krijgen tot vertrouwelijke informatie, gebonden zijn door een wettelijke, contractuele of professionele vertrouwelijkheidsverplichting.
5. De verplichting tot vertrouwelijkheid geldt gedurende de volledige looptijd van de samenwerking en blijft ook na de beëindiging ervan voortbestaan.
6. De bepalingen van dit artikel zijn niet van toepassing op informatie:
a) die op rechtmatige wijze reeds publiek beschikbaar is of nadien publiek wordt, zonder dat dit het gevolg is van een schending van deze voorwaarden of de opdrachtbrief;
b) waarvan de Dienstverlener kan aantonen dat zij deze reeds vóór de mededeling door de Klant rechtmatig kende;
c) die rechtmatig werd verkregen van een derde die niet gebonden is door een geheimhoudingsplicht;
d) waarvan de openbaarmaking vereist is op grond van een wettelijke bepaling, beroepsregel, deontologische verplichting, gerechtelijke beslissing of bevel van een bevoegde administratieve overheid, met inbegrip van de verplichtingen die voortvloeien uit de toepasselijke wetgeving inzake de voorkoming van witwassen van geld en financiering van terrorisme.
7. Alle intellectuele eigendomsrechten, methodes, modellen, teksten, adviezen, berekeningen, tools, sjablonen, rapporten, analyses, werkwijzen, softwareconfiguraties en documentatie die door haar worden ontwikkeld of gebruikt, blijven exclusief eigendom van de Dienstverlener, tenzij uitdrukkelijk schriftelijk anders overeengekomen.
8. De Klant mag deze materialen enkel gebruiken voor intern gebruik en voor het doel waarvoor zij werden verstrekt. Kopie, verspreiding, publicatie, commercialisering of overdracht aan derden is verboden zonder voorafgaande schriftelijke toestemming van de Dienstverlener.
Artikel 16: Verwerking van persoonsgegevens
1. De Dienstverlener verwerkt persoonsgegevens overeenkomstig de toepasselijke privacywetgeving en haar Privacyverklaring en Verwerkersovereenkomst, die steeds raadpleegbaar is op https://www.mllboekhouding.be/.
2. Voor zover MLL Boekhouding in het kader van de opdracht optreedt als verwerker in de zin van de AVG/GDPR, zijn de bepalingen van deze Privacyverklaring en Verwerkersovereenkomst van toepassing op de verwerking van persoonsgegevens namens de Klant.
3. De Klant garandeert dat de persoonsgegevens die hij aan de Dienstverlener bezorgt rechtmatig werden verkregen en aan haar mogen worden meegedeeld voor de uitvoering van de opdracht. De Klant blijft verantwoordelijk voor de juistheid, volledigheid en rechtmatigheid van deze gegevens.
4. De Dienstverlener neemt passende technische en organisatorische maatregelen ter bescherming van persoonsgegevens en bewaart deze niet langer dan noodzakelijk of wettelijk verplicht.
Artikel 17: Overmacht
1. De Dienstverlener is niet aansprakelijk voor vertragingen, tekortkomingen of schade als gevolg van overmacht of omstandigheden buiten haar redelijke controle, waaronder ziekte, staking, brand, stroompanne, cyberincident, storing van software of overheidsplatformen, overheidsmaatregelen, epidemie, oorlog, overstroming, netwerkstoring of tekortkomingen van derden.
2. Indien de overmachtssituatie langer dan twee maanden duurt, kan elke partij de overeenkomst beëindigen zonder schadevergoeding, onverminderd de verplichting van de Klant om reeds geleverde prestaties, kosten en voorschotten te betalen.
Artikel 18: Afwerving van medewerkers
1. Gedurende de samenwerking en gedurende 12 maanden na het einde ervan verbindt de Klant zich ertoe geen werknemers, aangestelden, zelfstandige medewerkers, onderaannemers of andere structurele medewerkers van de Dienstverlener rechtstreeks of onrechtstreeks aan te werven, in dienst te nemen of structureel met hen samen te werken zonder voorafgaande schriftelijke toestemming van de Dienstverlener.
2. Bij schending hiervan is de Klant van rechtswege en zonder ingebrekestelling een forfaitaire schadevergoeding verschuldigd van 50.000,00 EUR per betrokken persoon, onverminderd het recht van de Dienstverlener om hogere werkelijk geleden schade te bewijzen.
Artikel 19: Overdracht, wijziging, deelbaarheid, bewijs en geschillen
1. De Dienstverlener kan, buiten toepassing van de verrichtingen zoals gedefinieerd in artikel 12:2 tot en met 12:11 van het Wetboek van Vennootschappen en Verenigingen, deze overeenkomst of haar cliënteel overdragen aan een door het ITAA erkende rechtspersoon. In dat geval licht de Dienstverlener de Klant uiterlijk binnen vijftien dagen na de overdracht schriftelijk in over de volledige gegevens van de overnemer, met inbegrip van diens inschrijvingsnummer in het openbaar register van het ITAA, de datum waarop de overdracht plaatsvindt en het feit dat de opdracht door de overnemer zal worden voortgezet. De Klant en de Dienstverlener erkennen en aanvaarden dat de overeenkomst in dat geval wordt voortgezet met de overnemer, onder dezelfde voorwaarden als oorspronkelijk tussen Partijen overeengekomen, behoudens andersluidende schriftelijke afspraak.
2. De Dienstverlener mag deze algemene voorwaarden wijzigen. De nieuwe versie is van toepassing op nieuwe opdrachten en, voor lopende opdrachten, vanaf de kennisgeving of publicatie ervan, tenzij de Klant binnen 15 kalenderdagen schriftelijk bezwaar maakt. Bij bezwaar mag de Dienstverlener de samenwerking beëindigen met toepassing van de contractuele opzegtermijn.
3. Indien een bepaling geheel of gedeeltelijk ongeldig, nietig of onafdwingbaar is, blijven de overige bepalingen volledig van kracht. De ongeldige bepaling wordt vervangen door een geldige bepaling die het oorspronkelijke doel zo dicht mogelijk benadert.
4. Elektronische handtekeningen, gescande handtekeningen, e-mails, digitale documenten, portaalgegevens en elektronische logs kunnen als geldig bewijs worden gebruikt, behoudens tegenbewijs.
5. Belgisch recht is van toepassing. Partijen trachten geschillen eerst schriftelijk en in overleg op te lossen. Bij gebrek aan akkoord zijn uitsluitend de rechtbanken en hoven van het gerechtelijk arrondissement Leuven bevoegd, behoudens dwingend recht.
TITEL II. BIJZONDERE VOORWAARDEN VOOR OPLEIDINGEN, TRAININGEN, COACHING EN EVENTS
Artikel 20: Toepassing
1. Deze bijzondere voorwaarden zijn van toepassing op alle opleidingen, seminaries, trainingen, coaching, workshops, events en gelijkaardige diensten die door MLL Boekhouding worden aangeboden. Zij vullen Titel I aan en hebben voorrang voor zover zij daarmee strijdig zouden zijn.
Artikel 21: Inschrijving en totstandkoming
1. Inschrijvingen gebeuren schriftelijk of elektronisch. Een overeenkomst komt pas tot stand na schriftelijke of elektronische bevestiging door de Dienstverlener. De Dienstverlener kan inschrijvingen weigeren of beperken zonder motivering wanneer dit organisatorisch, inhoudelijk of deontologisch verantwoord is.
Artikel 22: Betaling voor opleidingen en events
1. Facturen voor opleidingen, trainingen, coaching en events zijn betaalbaar binnen 14 kalenderdagen na factuurdatum, of uiterlijk voor aanvang indien de factuur minder dan 14 kalenderdagen voor aanvang werd opgemaakt.
2. Bij laattijdige betaling mag de Dienstverlener de toegang tot de opleiding, training, coaching of het event weigeren, zonder dat dit de betalingsverplichting van de Klant aantast. Bij laattijdige betaling zijn dezelfde interesten, schadevergoedingen en invorderingskosten verschuldigd als bepaald in artikel 9, met een forfaitaire schadevergoeding van 10% van het factuurbedrag en een minimum van 250,00 EUR.
Artikel 23: Annulering, verplaatsing en vervanging
1. Annulering door de Klant kan uitsluitend schriftelijk gebeuren. Bij annulering tot 14 kalenderdagen voor aanvang is 50% van de prijs verschuldigd. Bij latere annulering of afwezigheid is de volledige prijs verschuldigd.
2. De Dienstverlener mag opleidingen, trainingen, coaching of events annuleren, verplaatsen, digitaal organiseren of inhoudelijk aanpassen bij overmacht, onvoldoende inschrijvingen, ziekte, organisatorische redenen of andere gegronde redenen. Reeds betaalde inschrijvingsgelden worden in dat geval terugbetaald of, in overleg, overgedragen naar een nieuwe datum.
3. Deelnemers mogen zich laten vervangen mits voorafgaande schriftelijke verwittiging en goedkeuring door MLL Boekhouding. Doorverkoop of overdracht van inschrijvingen aan derden is verboden zonder toestemming van MLL Boekhouding.
Artikel 24: Documentatie en intellectuele eigendom bij opleidingen
1. Alle documentatie, presentaties, modellen, sjablonen, opnames, methodes en andere materialen die in het kader van opleidingen, trainingen, coaching of events worden verstrekt, blijven intellectuele eigendom van de Dienstverlener of haar licentiegevers.
2. Deze materialen mogen niet worden gekopieerd, opgenomen, verspreid, gepubliceerd, doorverkocht, gedeeld of commercieel gebruikt zonder voorafgaande schriftelijke toestemming van MLL Boekhouding.
Artikel 25: Aansprakelijkheid bij opleidingen
1. Informatie verstrekt tijdens opleidingen, trainingen, coaching of events is algemeen van aard en vormt geen individueel boekhoudkundig, fiscaal, juridisch of financieel advies, tenzij uitdrukkelijk schriftelijk anders overeengekomen.
2. MLL Boekhouding is niet aansprakelijk voor schade die voortvloeit uit het gebruik van algemene opleidingsinformatie, noch voor verlies, diefstal, ongevallen of schade voor, tijdens of na een opleiding, training, coaching of event, behoudens opzettelijke fout of zware fout van MLL Boekhouding.
Artikel 26: Diverse bepalingen voor opleidingen
1. De bepalingen van Titel I, in het bijzonder de artikelen over betaling, aansprakelijkheid, intellectuele eigendom, persoonsgegevens, overmacht, bewijs, toepasselijk recht en geschillen, zijn van overeenkomstige toepassing op deze bijzondere voorwaarden.

TITLE I. GENERAL TERMS AND CONDITIONS FOR SERVICES
Article 1: Scope of application, identification and order of precedence
1. These general terms and conditions apply to all professional relationships between MLL Boekhouding GROUP BV, established at 3350 Linter, Grote Steenweg 53, with company number (BE) 1022.284.681, RPR Leuven and ITAA number 53.437.603, trading under the name MLL Boekhouding, hereinafter the ‘Service Provider’, and its clients, hereinafter the ‘Client’. They also apply to all companies affiliated with the Service Provider within the meaning of article 1:20 of the Belgian Code of Companies and Associations, insofar as they intervene in the provision of services.
2. These terms apply to all accountancy, bookkeeping, tax, legal, family, estate-related and advisory assignments, as well as to all additional, occasional or preparatory services, save for express and written derogation.
3. For training courses, seminars, trainings, coaching, events and similar activities, the special terms set out in Title II apply additionally. In the event of a conflict, these special terms take precedence for those specific services.
4. In the event of a conflict between the engagement letter or a specific written agreement and these general terms and conditions, the engagement letter or specific agreement shall prevail. The Client’s general terms and conditions are expressly excluded, even if communicated at a later date.
5. MLL Boekhouding can only be held liable for assignments which are shown to have been expressly accepted by the Service Provider.
Article 2: Formation and commencement of the agreement
1. Unless otherwise provided, the agreement is formed at the moment the Service Provider receives the engagement letter signed by the Client and countersigns it itself, or at the moment the Service Provider, at the Client’s request, commences performance of the assignment.
2. Where the engagement letter or these general terms and conditions have been provided to the Client and the Service Provider performs services at the Client’s request, these terms and conditions are deemed to have been accepted by the Client, even if the engagement letter has not yet been signed by all parties.
3. The assignment does not necessarily commence on the date of signature, but on the date on which the Service Provider actually performs or has performed the first services, as stated, where applicable, in the engagement letter.
Article 3: Nature and scope of the assignment
1. The specific assignments are determined in the engagement letter, in a separate quotation or in another written confirmation. The Service Provider is not obliged to perform services that do not expressly fall within the accepted assignment.
2. The assignment never entails interference with the management, policy decisions or strategic choices of the Client. The Client remains solely responsible for its decisions, activities, accounting, tax choices, cash position, obligations and the resulting consequences or results.
3. The Service Provider’s commitments are, save for mandatory statutory provisions, best-efforts obligations.
MLL Boekhouding undertakes to perform the assignments to the best of its ability. The Service Provider shall provide the services in compliance with the ethical and professional standards of the ITAA applicable to it, as well as the legislation and regulations that, insofar as applicable to the assignment concerned, are in force at the time of performance of the agreement.
4. The assignment is not, save for express written agreement or statutory obligation, specifically aimed at detecting fraud, irregularities, deficiencies, errors or omissions in the information provided by the Client.
Article 4: Term, recurring and non-recurring assignments
1. Recurring assignments are assignments that are carried out periodically or repeatedly. Unless otherwise provided, they are entered into for an indefinite period.
2. Recurring assignments may be terminated by either Party with one month’s notice, unless otherwise agreed in the engagement letter or in writing between the Parties. Termination shall be by registered letter. The notice period commences on the third calendar day after the date of dispatch of the registered letter, unless otherwise provided in the engagement letter or agreed in writing between the Parties.
3. Non-recurring assignments are one-off assignments, the performance of which puts an end to the assignment.
They end upon completion of the agreed services.
4. In the event of early termination of a non-recurring assignment by the Client, the Client is obliged to pay for all services, costs, advances and expenses already provided, increased by a fixed compensation of 30% of the part not performed, without prejudice to the Service Provider’s right to prove higher actual damage.
5. Fixed fees remain due until the actual end of the assignment, including the applicable notice period. Services performed after the end of the assignment or services relating to earlier periods may be invoiced separately.
Article 5: Immediate termination and suspension
1. The Service Provider may terminate the agreement immediately, without notice period and without compensation, where further cooperation reasonably becomes impossible, including in the event of loss or threat to its independence, ethical or legal obstacles, non-payment, structural payment arrears, lack of cooperation, incomplete or incorrect information, change in risk profile, anti-money laundering issues, bankruptcy, liquidation, suspension of payment, judicial reorganisation or cessation of the Client’s activities.
2. Where immediate termination results from a breach by the Client, the Service Provider may have this termination preceded by a formal notice or warning, to the extent reasonably required or useful.
3. In the event of non-performance, incorrect or late performance by the Client of an obligation, including non- payment of invoices or advances, the Service Provider may suspend or postpone its services until the Client has fully complied with its obligations. The Service Provider shall notify the Client thereof in writing.
4. All costs, fines, interest, compensation, damage and adverse consequences resulting from termination, suspension or postponement due to a breach by the Client are borne exclusively by the Client. Services already provided remain fully due.
Article 6: Obligations of the Client
1. The Client undertakes to provide, in a timely, complete, accurate, structured manner and in the agreed manner, all documents, data, explanations and information necessary for the performance of the assignment.
2. The Client remains responsible for the accuracy, completeness, reliability, retention and lawfulness of the information, documents, deeds, contracts, inventories, invoices and supporting documents provided by or on behalf of it. The Service Provider is not obliged to verify the content of this data, unless expressly agreed otherwise in writing.
3. The Client checks the documents, returns, reports, overviews and drafts made available by the Service Provider and reports any comments, errors or omissions immediately in writing.
4. The Client immediately reports any change that may affect the performance of the assignment, including changes in contact details, activities, shareholding, management, beneficial owners, financial situation, cash position, payment problems, social security or tax debts and mandates.
5. If the Client fails to comply with its obligations or deadlines, the Service Provider is not liable for late filings, fines, interest, tax increases, sanctions or other consequences resulting therefrom.
Article 7: Documents, retention, powers of attorney and digital platforms
1. The Client remains responsible for the retention of all accounting, tax, legal and administrative documents, books and records, regardless of whether these are provided, transmitted or made available physically, digitally, via software, a portal, mailbox, access point or other digital platform. This also applies to documents and records that are returned to the Client by the Service Provider or made digitally available.
2. If the Client, despite prior notification by the Service Provider, fails to collect, download, retain, take back or receive its documents, books or records, the Service Provider may return or make available such documents in the manner it deems useful, at the Client’s sole expense and under the Client’s sole responsibility.
3. The Client is solely responsible for the timely granting, management, follow-up, modification and, where necessary, withdrawal of all powers of attorney, mandates, authorisations, access rights and powers of any kind required or useful for the performance of the assignment.
4. The Service Provider acts exclusively within the limits of the powers of attorney, mandates, authorisations, access rights and powers granted by the Client. The Service Provider can under no circumstances be held responsible or liable for the absence, inaccuracy, invalidity, lateness, incompleteness, lack of currency or late withdrawal thereof.
5. All consequences resulting from the failure to grant, manage, follow up, modify or withdraw powers of attorney, mandates, authorisations, access rights or powers, or from doing so late, incorrectly, incompletely or not up to date, are borne exclusively by the Client.
6. At the end of the assignment, the books and documents owned by the Client are made available to the Client or its agent, where applicable by drawing up a dated and signed inventory in as many original copies as there are Parties.
7. The end of the assignment leads, save for any statutory or contractual obligation to the contrary, to the withdrawal, cessation or deactivation of the mandates, powers of attorney, authorisations, access rights and powers granted to the Service Provider, including, among others, mandates for filing personal income tax, corporate income tax and VAT returns, the filing of annual accounts, access to the UBO register or any other form of representation.
8. Without prejudice to its other obligations, the end of the assignment requires the Client to immediately take back, download, retain or receive all its accounting documents, books and records in the manner in which they are made available by the Service Provider.
9. For electronic invoicing, Peppol, access points and UBL files, the Client remains responsible for the management, follow-up, content and statutory retention. The Service Provider may, if granted a mandate to do so, activate, deactivate or modify an access point, but does not take over the management, follow-up, content control or retention thereof.
10. Any costs associated with activating, modifying, deactivating, making available or managing an access point, digital platform, software access or mandate may be invoiced separately to the Client.
Article 8: Fees, costs, advances and start-up services
1. Fees and costs are determined as set out in the engagement letter, quotation, specific agreement or invoice.
Failing this, they are determined on the basis of the nature, scope, degree of difficulty, urgency, responsibility, required competences, time spent and volume of the assignment.
2. All rates are exclusive of VAT, unless expressly stated otherwise. External costs, advances, publication costs, business counter costs, statutory books, travel expenses, portal or software costs, translation costs and other expenses incurred for the benefit of the Client are charged or passed on separately.
3. The Service Provider may request one or more advances and may commence, suspend or continue its services depending on payment thereof. Advances are offset against the final statement of costs and fees.
4. Where services are provided on behalf of an undertaking, company, association, non-profit association, sole proprietorship or other organisation that has not yet been validly incorporated, started, registered or activated, the persons who gave the assignment are personally, jointly and severally and indivisibly liable for payment of all fees, costs, advances and expenses, even if the organisation concerned is ultimately not incorporated, started, registered or activated.
5. In the absence of other payment details, payments are to be made to the account of MLL Boekhouding, currently IBAN BE30 7310 6615 7611.
Article 9: Payment, interest, compensation and recovery
1. Invoices and fee statements are payable within 30 calendar days of the invoice date, unless the invoice, engagement letter or specific agreement states a different term.
2. Any unpaid invoice automatically bears interest, without prior notice of default, from the due date. For undertakings, at least the interest rate set out in article 5 of the Act of 2 August 2002 on combating late payment in commercial transactions applies, save for a higher contractual or statutory interest rate.
3. In the event of late payment, the Client shall furthermore automatically and without notice of default owe a fixed compensation of 10% of the unpaid amount, with a minimum of EUR 250.00 per invoice, without prejudice to the Service Provider’s right to claim higher actual damage, legal costs and recovery costs.
4. All judicial and extrajudicial recovery costs, administrative costs, reminder costs, bailiff costs, lawyer’s fees and other costs resulting from non-payment are borne by the Client, to the extent permitted by mandatory law.
5. In the event of non-payment of an invoice on its due date, all other outstanding invoices, even those not yet due, become immediately payable. Payments are first allocated to costs, then to interest and compensation, and finally to the principal amount, unless the Service Provider decides otherwise.
6. The Client may not suspend, reduce or set off payment against an alleged counterclaim, except with the Service Provider’s prior written consent or where mandatory law so requires.
7. An electronic invoice sent via Peppol or another legally recognised electronic invoicing network is deemed to have been validly sent and received on the date shown by the network concerned or the audit trail. Any additional dispatch by e-mail or via another channel is purely informative and does not affect the validity or payment term of the electronic invoice.
Article 10: Disputing invoices and services
1. Any dispute regarding an invoice, fee statement, cost statement or charged service must, on pain of forfeiture, be communicated to the Service Provider by registered letter within 7 calendar days of the invoice date, with a clear and substantiated description of the dispute.
2. In the absence of a timely and valid dispute, the invoice, fee statement, cost statement or service is definitively and irrevocably accepted and the claim is considered certain, fixed and due.
3. A partial dispute does not relieve the Client of the obligation to pay the undisputed part in a timely manner.
Article 11: Liability and indemnification
1. MLL Boekhouding can only be held liable for damage that is the direct result of its own intentional or gross fault, within the limits of applicable legislation.
2. The liability of MLL Boekhouding is always limited to the amounts actually covered and paid out by its professional liability insurance. If the insurance does not intervene, liability is limited to a maximum of once the fee paid by the Client for the assignment concerned during the twelve months preceding the event causing the damage.
3. The Service Provider is not liable for indirect damage, consequential damage, loss of profit, turnover, goodwill, customers, business opportunities, data, expected savings or benefits, nor for fines, tax increases, interest or sanctions resulting from a breach by the Client.
4. The Service Provider is not liable for errors, deficiencies or damage caused by incorrect, incomplete, late or misleading information from the Client or third parties, by decisions of the Client, by software, digital platforms, government portals, banks, social secretariats, authorities or other external parties.
5. Where several instances of damage result from the same fault or cause, they are considered a single instance of damage. The Client indemnifies MLL Boekhouding against third-party claims related to assignments it has performed, except in the event of intentional or gross fault by MLL Boekhouding.
6. Any claim by the Client against MLL Boekhouding lapses, save for mandatory law, if it is not brought in writing and with reasons within one year after the Client discovered or could reasonably have discovered the event causing the damage.
Article 12: Auxiliaries, staff and tortious liability
1. The Service Provider may, for the performance of its assignments, engage employees, agents, independent staff, external service providers, subcontractors, software suppliers and other auxiliaries which it reasonably considers capable of contributing to the assignment.
2. Within the statutory limits, the Client acknowledges that damage due to non-performance of contractual obligations can only give rise to a contractual claim against MLL Boekhouding, and not to a tortious claim against its directors, employees, agents, independent staff, subcontractors or other auxiliaries, even if the underlying facts could also constitute a tortious fault.
3. All limitations, exclusions and defences regarding liability on which MLL Boekhouding may rely may also be invoked by its directors, employees, agents, independent staff, subcontractors and other auxiliaries.
Article 13: Anti-money laundering, client acceptance and reporting obligation
1. The Service Provider is subject to the legislation on the prevention of the use of the financial system for the purpose of money laundering and terrorist financing. The Client undertakes to provide immediately, accurately and completely, all information and documents requested in this context.
2. The Client must immediately inform the Service Provider of changes in identity, management, shareholding, beneficial owners, activities, risk profile, financing or other relevant data.
3. If the Client fails to cooperate sufficiently, refuses to provide information, or if the Service Provider, on the basis of its statutory or ethical obligations, cannot commence or continue the cooperation, it may refuse, suspend or immediately terminate the assignment without compensation.
4. The Service Provider may be legally required to report certain information to competent authorities. The Client acknowledges that the Service Provider cannot, in such case, invoke professional secrecy or contractual confidentiality against that statutory reporting obligation.
Article 14: Electronic communication, software and data exchange
1. The Parties accept the use of e-mail, electronic signatures, client portals, accounting software, cloud applications, government portals and other digital means of communication for the performance of the assignment.
2. Electronic communication involves risks, including loss, delay, error, interception, damage, phishing, malware, technical malfunction or unauthorised access. The Client accepts these risks and is responsible for the security of its own systems, mailboxes, access, passwords and user rights.
3. The Service Provider is not liable for damage resulting from technical malfunctions, cyber incidents, unavailability, errors or changes to software, platforms, networks, access points, banking applications or government portals, except in the event of intentional or gross fault by MLL Boekhouding.
Article 15: Confidentiality, professional secrecy and intellectual property
1. The Service Provider complies with professional secrecy and its confidentiality obligations in accordance with applicable legislation, professional rules and the ethical obligations applicable to it, save for statutory or ethical exceptions, including anti-money laundering obligations.
2. The Service Provider undertakes to refrain from any unlawful use or unlawful disclosure of any trade secret within the meaning of article I.17/1, 1°, of the Belgian Code of Economic Law, of which it, its directors, employees, agents, independent staff, subcontractors or other auxiliaries became aware during the performance of the assignment, in accordance with article XI.332/4 of the same Code.
3. The Service Provider undertakes not to disclose or make public to third parties any confidential business information, confidential data, personal matters or other non-public information relating to the Client of which it becomes aware in the context of the Services, except to the extent necessary for the performance of the assignment, legally or ethically required, or authorised by the Client.
4. The Service Provider ensures that its directors, employees, agents, independent staff, subcontractors or other auxiliaries who gain access to confidential information are bound by a statutory, contractual or professional confidentiality obligation.
5. The confidentiality obligation applies for the entire term of the cooperation and continues to apply after its termination.
6. The provisions of this article do not apply to information:
a) which is already lawfully publicly available or subsequently becomes publicly available, without this resulting from a breach of these terms or the engagement letter;
b) which the Service Provider can demonstrate it already lawfully knew prior to its disclosure by the Client;
c) which was lawfully obtained from a third party not bound by a confidentiality obligation;
d) the disclosure of which is required pursuant to a statutory provision, professional rule, ethical obligation, court decision or order of a competent administrative authority, including the obligations arising from the applicable legislation on the prevention of money laundering and terrorist financing.
7. All intellectual property rights, methods, models, texts, advice, calculations, tools, templates, reports, analyses, working methods, software configurations and documentation developed or used by it remain the exclusive property of the Service Provider, unless expressly agreed otherwise in writing.
8. The Client may only use these materials for internal use and for the purpose for which they were provided.
Copying, distribution, publication, commercialisation or transfer to third parties is prohibited without the prior written consent of the Service Provider.
Article 16: Processing of personal data
1. The Service Provider processes personal data in accordance with applicable privacy legislation and its Privacy Statement and Data Processing Agreement, which is always available at https://www.mllboekhouding.be/.
2. Insofar as MLL Boekhouding acts, in the context of the assignment, as a processor within the meaning of the GDPR, the provisions of this Privacy Statement and Data Processing Agreement apply to the processing of personal data on behalf of the Client.
3. The Client guarantees that the personal data it provides to the Service Provider was lawfully obtained and may be disclosed to it for the performance of the assignment. The Client remains responsible for the accuracy, completeness and lawfulness of this data.
4. The Service Provider takes appropriate technical and organisational measures to protect personal data and does not retain it for longer than necessary or legally required.
Article 17: Force majeure
1. The Service Provider is not liable for delays, deficiencies or damage as a result of force majeure or circumstances beyond its reasonable control, including illness, strike, fire, power outage, cyber incident, malfunction of software or government platforms, government measures, epidemic, war, flooding, network failure or failures by third parties.
2. If the force majeure situation lasts longer than two months, either party may terminate the agreement without compensation, without prejudice to the Client’s obligation to pay for services, costs and advances already provided.
Article 18: Non-solicitation of staff
1. During the cooperation and for 12 months after its termination, the Client undertakes not to directly or indirectly recruit, employ or structurally cooperate with employees, agents, independent staff, subcontractors or other structural staff of the Service Provider, without the prior written consent of the Service Provider.
2. In the event of breach of this provision, the Client shall automatically and without notice of default owe a fixed compensation of EUR 50,000.00 per person concerned, without prejudice to the Service Provider’s right to prove higher actual damage.
Article 19: Assignment, modification, severability, evidence and disputes
1. The Service Provider may, outside the application of the transactions defined in articles 12:2 to 12:11 of the Belgian Code of Companies and Associations, transfer this agreement or its clientele to a legal entity recognised by the ITAA. In that case, the Service Provider shall inform the Client in writing, no later than fifteen days after the transfer, of the full details of the transferee, including its registration number in the ITAA’s public register, the date on which the transfer takes place and the fact that the assignment will be continued by the transferee.
The Client and the Service Provider acknowledge and accept that, in that case, the agreement continues with the transferee, under the same conditions as originally agreed between the Parties, unless otherwise agreed in writing.
2. The Service Provider may amend these general terms and conditions. The new version applies to new assignments and, for ongoing assignments, from the date of notification or publication thereof, unless the Client objects in writing within 15 calendar days. In the event of objection, the Service Provider may terminate the cooperation applying the contractual notice period.
3. If a provision is wholly or partly invalid, void or unenforceable, the remaining provisions remain fully in force.
The invalid provision shall be replaced by a valid provision that comes as close as possible to the original purpose.
4. Electronic signatures, scanned signatures, e-mails, digital documents, portal data and electronic logs may be used as valid evidence, subject to proof to the contrary.
5. Belgian law applies. The Parties shall first attempt to resolve disputes in writing and in consultation. Failing agreement, only the courts of the judicial district of Leuven have jurisdiction, save for mandatory law.
TITLE II. SPECIAL TERMS FOR TRAINING COURSES, TRAININGS, COACHING AND EVENTS
Article 20: Application
1. These special terms apply to all training courses, seminars, trainings, coaching, workshops, events and similar services offered by MLL Boekhouding. They supplement Title I and take precedence to the extent that they conflict with it.
Article 21: Registration and formation of the agreement
1. Registrations are made in writing or electronically. An agreement is only formed after written or electronic confirmation by the Service Provider. The Service Provider may refuse or limit registrations without justification where this is organisationally, substantively or ethically warranted.
Article 22: Payment for training courses and events
1. Invoices for training courses, trainings, coaching and events are payable within 14 calendar days of the invoice date, or at the latest before the start if the invoice was issued less than 14 calendar days before the start.
2. In the event of late payment, the Service Provider may refuse access to the training course, training, coaching or event, without this affecting the Client’s payment obligation. In the event of late payment, the same interest, compensation and recovery costs are due as set out in article 9, with a fixed compensation of 10% of the invoice amount and a minimum of EUR 250.00.
Article 23: Cancellation, rescheduling and substitution
1. Cancellation by the Client can only be done in writing. In the event of cancellation up to 14 calendar days before the start, 50% of the price is due. In the event of later cancellation or absence, the full price is due.
2. The Service Provider may cancel, reschedule, organise digitally or adjust the content of training courses, trainings, coaching or events in the event of force majeure, insufficient registrations, illness, organisational reasons or other valid reasons. Registration fees already paid will in that case be refunded or, by mutual agreement, carried over to a new date.
3. Participants may arrange for a substitute, subject to prior written notice and approval by MLL Boekhouding.
Resale or transfer of registrations to third parties is prohibited without the consent of MLL Boekhouding.
Article 24: Documentation and intellectual property relating to training courses
1. All documentation, presentations, models, templates, recordings, methods and other materials provided in connection with training courses, trainings, coaching or events remain the intellectual property of the Service Provider or its licensors.
2. These materials may not be copied, recorded, distributed, published, resold, shared or used commercially without the prior written consent of MLL Boekhouding.
Article 25: Liability relating to training courses
1. Information provided during training courses, trainings, coaching or events is of a general nature and does not constitute individual accounting, tax, legal or financial advice, unless expressly agreed otherwise in writing.
2. MLL Boekhouding is not liable for damage resulting from the use of general training information, nor for loss, theft, accidents or damage before, during or after a training course, training, coaching or event, save in the event of intentional or gross fault by MLL Boekhouding.
Article 26: Miscellaneous provisions for training courses
1. The provisions of Title I, in particular the articles on payment, liability, intellectual property, personal data, force majeure, evidence, applicable law and disputes, apply mutatis mutandis to these special terms.

TITRE I. CONDITIONS GÉNÉRALES DE PRESTATION DE SERVICES
Article 1er : Champ d’application, identification et hiérarchie
1. Les présentes conditions générales s’appliquent à toutes les relations professionnelles entre MLL Boekhouding GROUP BV, dont le siège est établi à 3350 Linter, Grote Steenweg 53, numéro d’entreprise (BE) 1022.284.681, RPM Louvain et numéro ITAA 53.437.603, agissant sous le nom commercial MLL Boekhouding, ci-après le « Prestataire », et ses clients, ci-après le « Client ». Elles s’appliquent également à toutes les sociétés liées au Prestataire au sens de l’article 1:20 du Code des sociétés et des associations, dans la mesure où elles interviennent dans la prestation de services.
2. Ces conditions s’appliquent à toutes les missions de comptabilité, de tenue de livres, fiscales, juridiques, familiales, patrimoniales et de conseil, ainsi qu’à toutes les prestations complémentaires, occasionnelles ou préparatoires, sauf dérogation expresse et écrite.
3. Pour les formations, séminaires, formations, coaching, événements et activités similaires, les conditions particulières reprises au Titre II s’appliquent en complément. En cas de contradiction, ces conditions particulières priment pour ces services spécifiques.
4. En cas de contradiction entre la lettre de mission ou une convention écrite particulière et les présentes conditions générales, la lettre de mission ou la convention particulière prime. Les conditions générales du Client sont expressément exclues, même si elles sont communiquées ultérieurement.
5. MLL Boekhouding ne peut être tenue responsable que pour les missions dont il est démontré qu’elles ont été expressément acceptées par le Prestataire.
Article 2 : Formation et début de la convention
1. Sauf disposition contraire, la convention est formée au moment où le Prestataire reçoit la lettre de mission signée par le Client et la cosigne lui-même, ou au moment où le Prestataire commence l’exécution de la mission à la demande du Client.
2. Lorsque la lettre de mission ou les présentes conditions générales ont été communiquées au Client et que le Prestataire fournit des prestations à la demande du Client, ces conditions sont réputées acceptées par le Client, même si la lettre de mission n’a pas encore été signée par toutes les parties.
3. La mission ne débute pas nécessairement à la date de signature, mais à la date à laquelle le Prestataire fournit ou a fourni effectivement les premières prestations, comme indiqué le cas échéant dans la lettre de mission.
Article 3 : Nature et étendue de la mission
1. Les missions concrètes sont déterminées dans la lettre de mission, dans une offre distincte ou dans une autre confirmation écrite. Le Prestataire n’est pas tenu à des prestations qui ne relèvent pas expressément de la mission acceptée.
2. La mission n’implique jamais une ingérence dans la gestion, les décisions politiques ou les choix stratégiques du Client. Le Client reste seul responsable de ses décisions, activités, comptabilité, choix fiscaux, position de trésorerie, obligations et des conséquences ou résultats en découlant.
3. Les engagements du Prestataire sont, sauf dispositions légales impératives, des obligations de moyens. MLL Boekhouding s’engage à exécuter les missions au mieux de ses capacités. Le Prestataire fournira les services dans le respect des normes déontologiques et professionnelles de l’ITAA qui lui sont applicables, ainsi que de la législation et de la réglementation en vigueur, pour autant qu’elles soient applicables à la mission concernée, au moment de l’exécution de la convention.
4. La mission n’est, sauf accord exprès écrit ou obligation légale, pas spécifiquement orientée vers la détection de fraudes, d’irrégularités, de manquements, d’erreurs ou d’incomplétudes dans les informations fournies par le Client.
Article 4 : Durée, missions récurrentes et non récurrentes
1. Les missions récurrentes sont des missions exécutées périodiquement ou de manière répétée. Sauf disposition contraire, elles sont conclues pour une durée indéterminée.
2. Les missions récurrentes peuvent être résiliées par chaque Partie moyennant un préavis d’un mois, sauf convention contraire dans la lettre de mission ou par écrit entre les Parties. La résiliation s’effectue par courrier recommandé. Le délai de préavis prend cours le troisième jour calendrier suivant la date d’envoi du courrier recommandé, sauf disposition contraire dans la lettre de mission ou convenue par écrit entre les Parties.
3. Les missions non récurrentes sont des missions ponctuelles dont l’exécution met fin à la mission. Elles prennent fin par l’achèvement des prestations convenues.
4. En cas de résiliation anticipée d’une mission non récurrente par le Client, celui-ci est tenu de payer toutes les prestations, frais, avances et débours déjà fournis, majorés d’une indemnité forfaitaire de 30 % de la partie non exécutée, sans préjudice du droit du Prestataire de prouver un dommage réel plus élevé.
5. Les forfaits restent dus jusqu’à la fin effective de la mission, en ce compris le préavis applicable. Les prestations postérieures à la fin de la mission ou les prestations relatives à des périodes antérieures peuvent être facturées séparément.
Article 5 : Résiliation immédiate et suspension
1. Le Prestataire peut résilier la convention immédiatement, sans préavis et sans indemnité, lorsque la poursuite de la collaboration devient raisonnablement impossible, notamment en cas de perte ou de menace de son indépendance, d’obstacles déontologiques ou légaux, de non-paiement, d’arriéré de paiement structurel, de manque de coopération, d’informations incomplètes ou incorrectes, de modification du profil de risque, de problèmes liés à la lutte contre le blanchiment, de faillite, de liquidation, de cessation de paiement, de réorganisation judiciaire ou de cessation des activités du Client.
2. Lorsque la résiliation immédiate résulte d’un manquement du Client, le Prestataire peut la faire précéder d’une mise en demeure ou d’un avertissement, dans la mesure où cela est raisonnablement requis ou utile.
3. En cas d’inexécution, d’exécution incorrecte ou tardive par le Client d’une obligation, dont le non-paiement de factures ou d’avances, le Prestataire peut suspendre ou différer ses prestations jusqu’à ce que le Client ait pleinement satisfait à ses obligations. Le Prestataire en informe le Client par écrit.
4. Tous les frais, amendes, intérêts, indemnités, dommages et conséquences défavorables résultant de la résiliation, de la suspension ou du report en raison d’un manquement du Client sont exclusivement à charge du Client. Les prestations déjà fournies restent intégralement dues.
Article 6 : Obligations du Client
1. Le Client s’engage à fournir en temps utile, de manière complète, exacte, structurée et selon les modalités convenues, tous les documents, données, explications et informations nécessaires à l’exécution de la mission.
2. Le Client reste responsable de l’exactitude, de l’exhaustivité, de la fiabilité, de la conservation et de la légalité des informations, documents, actes, contrats, inventaires, factures et pièces justificatives qu’il fournit ou fait fournir pour son compte. Le Prestataire n’est pas tenu de contrôler le contenu de ces données, sauf convention écrite contraire expresse.
3. Le Client contrôle les documents, déclarations, rapports, relevés et projets que le Prestataire met à sa disposition et signale immédiatement par écrit toute observation, erreur ou omission.
4. Le Client signale immédiatement tout changement susceptible d’affecter l’exécution de la mission, dont les changements de coordonnées, d’activités, d’actionnariat, de gestion, de bénéficiaires effectifs, de situation financière, de position de trésorerie, de problèmes de paiement, de dettes sociales ou fiscales et de mandats.
5. Si le Client ne respecte pas ses obligations ou ses délais, le Prestataire n’est pas responsable des dépôts tardifs, amendes, intérêts, majorations d’impôt, sanctions ou autres conséquences en découlant.
Article 7 : Documents, conservation, mandats et plateformes numériques
1. Le Client reste responsable de la conservation de toutes les pièces, livres et documents comptables, fiscaux, juridiques et administratifs, qu’ils soient fournis, transmis ou mis à disposition de manière physique, numérique, via un logiciel, un portail, une boîte aux lettres électronique, un point d’accès ou toute autre plateforme numérique. Ceci s’applique également aux pièces et documents que le Prestataire restitue au Client ou met à sa disposition numériquement.
2. Si le Client, malgré une notification préalable du Prestataire, omet de récupérer, télécharger, conserver, reprendre ou réceptionner ses pièces, livres ou documents, le Prestataire peut les restituer ou les mettre à disposition de la manière qu’il juge utile, aux frais exclusifs et sous la seule responsabilité du Client.
3. Le Client est seul responsable de l’octroi, de la gestion, du suivi, de la modification et, si nécessaire, du retrait en temps utile de tous mandats, procurations, autorisations, accès et compétences de quelque nature que ce soit, requis ou utiles à l’exécution de la mission.
4. Le Prestataire agit exclusivement dans les limites des mandats, procurations, autorisations, accès et compétences octroyés par le Client. Le Prestataire ne peut en aucun cas être tenu responsable de leur absence, inexactitude, invalidité, tardiveté, incomplétude, manque d’actualité ou retrait tardif.
5. Toutes les conséquences résultant de l’absence, du retard, de l’inexactitude, de l’incomplétude ou du manque d’actualité dans l’octroi, la gestion, le suivi, la modification ou le retrait de mandats, procurations, autorisations, accès ou compétences sont exclusivement à charge du Client.
6. À la fin de la mission, les livres et documents appartenant au Client sont mis à la disposition du Client ou de son mandataire, le cas échéant moyennant l’établissement d’un inventaire daté et signé en autant d’exemplaires originaux qu’il y a de Parties.
7. La fin de la mission entraîne, sauf obligation légale ou contractuelle contraire, le retrait, la cessation ou la désactivation des mandats, procurations, autorisations, accès et compétences accordés au Prestataire, dont notamment les mandats pour le dépôt des déclarations à l’impôt des personnes physiques, à l’impôt des sociétés et à la TVA, le dépôt des comptes annuels, l’accès au registre UBO ou toute autre forme de représentation.
8. Sans préjudice de ses autres obligations, la fin de la mission exige que le Client reprenne, télécharge, conserve ou réceptionne immédiatement toutes ses pièces, livres et documents comptables, selon les modalités de mise à disposition prévues par le Prestataire.
9. Pour la facturation électronique, Peppol, les points d’accès et les fichiers UBL, le Client reste responsable de la gestion, du suivi, du contenu et de la conservation légale. Le Prestataire peut, s’il en reçoit mandat, activer, désactiver ou modifier un point d’accès, mais n’en reprend pas la gestion, le suivi, le contrôle du contenu ou la conservation.
10. Les frais éventuels liés à l’activation, la modification, la désactivation, la mise à disposition ou la gestion d’un point d’accès, d’une plateforme numérique, d’un accès logiciel ou d’un mandat peuvent être facturés séparément au Client.
Article 8 : Honoraires, frais, avances et prestations de démarrage
1. Les honoraires et frais sont fixés conformément à la lettre de mission, à l’offre, à la convention particulière ou à la facture. À défaut, ils sont déterminés sur la base de la nature, de l’ampleur, du degré de difficulté, de l’urgence, de la responsabilité, des compétences requises, du temps consacré et du volume de la mission.
2. Tous les tarifs s’entendent hors TVA, sauf mention expresse contraire. Les frais externes, avances, frais de publication, frais de guichets d’entreprises, livres légaux, frais de déplacement, frais de portail ou de logiciel, frais de traduction et autres dépenses pour le compte du Client sont facturés ou refacturés séparément.
3. Le Prestataire peut demander une ou plusieurs avances et peut entamer, suspendre ou poursuivre ses prestations en fonction du paiement de celles-ci. Les avances sont déduites du décompte définitif des frais et honoraires.
4. Lorsque des prestations sont fournies pour le compte d’une entreprise, société, association, asbl, entreprise individuelle ou autre organisation qui n’a pas encore été valablement constituée, créée, immatriculée ou activée, les personnes ayant donné la mission sont personnellement, solidairement et indivisiblement tenues au paiement de tous les honoraires, frais, avances et débours, même si l’organisation concernée n’est finalement pas constituée, créée, immatriculée ou activée.
5. À défaut d’autres coordonnées de paiement, les paiements doivent être effectués sur le compte de MLL Boekhouding, actuellement IBAN BE30 7310 6615 7611.
Article 9 : Paiement, intérêts, indemnités et recouvrement
1. Les factures et notes d’honoraires sont payables dans les 30 jours calendrier suivant la date de facture, sauf si la facture, la lettre de mission ou une convention particulière prévoit un autre délai.
2. Toute facture impayée porte de plein droit et sans mise en demeure préalable intérêt à partir de l’échéance.
Pour les entreprises, le taux d’intérêt prévu à l’article 5 de la loi du 2 août 2002 concernant la lutte contre le retard de paiement dans les transactions commerciales s’applique au minimum, sauf intérêt contractuel ou légal supérieur.
3. En cas de paiement tardif, le Client est en outre redevable de plein droit et sans mise en demeure d’une indemnité forfaitaire de 10 % du montant impayé, avec un minimum de 250,00 EUR par facture, sans préjudice du droit du Prestataire de réclamer un dommage réel plus élevé, des frais de justice et des frais de recouvrement.
4. Tous les frais de recouvrement judiciaires et extrajudiciaires, frais administratifs, frais de rappel, frais d’huissier, honoraires d’avocat et autres frais résultant du non-paiement sont à charge du Client, dans la mesure permise par le droit impératif.
5. En cas de non-paiement d’une facture à l’échéance, toutes les autres factures en souffrance, même non encore échues, deviennent immédiatement exigibles. Les paiements sont d’abord imputés sur les frais, ensuite sur les intérêts et indemnités, et enfin sur le principal, sauf décision contraire du Prestataire.
6. Le Client ne peut suspendre, réduire ou compenser un paiement avec une prétendue créance, sauf accord écrit préalable du Prestataire ou lorsque le droit impératif l’impose.
7. Une facture électronique envoyée via Peppol ou un autre réseau de facturation électronique légalement reconnu est réputée valablement envoyée et reçue à la date résultant du réseau concerné ou de la piste d’audit.
Un éventuel envoi complémentaire par e-mail ou via un autre canal a un caractère purement informatif et ne porte pas atteinte à la validité ou au délai de paiement de la facture électronique.
Article 10 : Contestation des factures et prestations
1. Toute contestation d’une facture, note d’honoraires, décompte de frais ou prestation facturée doit, sous peine de déchéance, être communiquée au Prestataire par courrier recommandé dans les 7 jours calendrier suivant la date de facture, avec une description claire et motivée de la contestation.
2. À défaut de contestation valable et en temps utile, la facture, la note d’honoraires, le décompte de frais ou la prestation est définitivement et irrévocablement acceptée et la créance est considérée comme certaine, liquide et exigible.
3. Une contestation partielle ne dispense pas le Client de l’obligation de payer en temps utile la partie non contestée.
Article 11 : Responsabilité et garantie
1. MLL Boekhouding ne peut être tenue responsable que du dommage résultant directement de sa propre faute intentionnelle ou lourde, dans les limites de la législation applicable.
2. La responsabilité de MLL Boekhouding est toujours limitée aux montants effectivement couverts et payés par son assurance responsabilité professionnelle. Si l’assurance n’intervient pas, la responsabilité est limitée au maximum à une fois le montant des honoraires payés par le Client pour la mission concernée au cours des douze mois précédant le fait dommageable.
3. Le Prestataire n’est pas responsable des dommages indirects, dommages consécutifs, pertes de bénéfices, de chiffre d’affaires, de clientèle, de clients, d’opportunités commerciales, de données, d’économies ou avantages escomptés, ni des amendes, majorations d’impôt, intérêts ou sanctions résultant d’un manquement du Client.
4. Le Prestataire n’est pas responsable des erreurs, manquements ou dommages causés par des informations inexactes, incomplètes, tardives ou trompeuses du Client ou de tiers, par des décisions du Client, par des logiciels, plateformes numériques, portails gouvernementaux, banques, secrétariats sociaux, autorités ou autres parties externes.
5. Lorsque plusieurs sinistres résultent de la même faute ou cause, ils sont considérés comme un seul sinistre. Le Client garantit MLL Boekhouding contre les réclamations de tiers liées aux missions qu’elle a exécutées, sauf en cas de faute intentionnelle ou lourde de MLL Boekhouding.
6. Toute réclamation du Client envers MLL Boekhouding est prescrite, sauf droit impératif contraire, si elle n’est pas introduite par écrit et de manière motivée dans l’année suivant la découverte ou la découverte raisonnablement possible par le Client du fait dommageable.
Article 12 : Auxiliaires, collaborateurs et responsabilité extracontractuelle
1. Le Prestataire peut, pour l’exécution de ses missions, faire appel à des employés, préposés, collaborateurs indépendants, prestataires externes, sous-traitants, fournisseurs de logiciels et autres auxiliaires dont il estime raisonnablement qu’ils peuvent contribuer à la mission.
2. Dans les limites légales, le Client reconnaît que le dommage résultant de l’inexécution d’obligations contractuelles ne peut donner lieu qu’à une action contractuelle contre MLL Boekhouding, et non à une action extracontractuelle contre ses administrateurs, employés, préposés, collaborateurs indépendants, sous-traitants ou autres auxiliaires, même si les faits sous-jacents pourraient également constituer une faute extracontractuelle.
3. Toutes les limitations, exclusions et moyens de défense en matière de responsabilité dont MLL Boekhouding peut se prévaloir peuvent également être invoqués par ses administrateurs, employés, préposés, collaborateurs indépendants, sous-traitants et autres auxiliaires.
Article 13 : Lutte contre le blanchiment, acceptation du Client et obligation de signalement
1. Le Prestataire est soumis à la législation relative à la prévention de l’utilisation du système financier aux fins du blanchiment de capitaux et du financement du terrorisme. Le Client s’engage à fournir immédiatement, de manière exacte et complète, toutes les informations et documents demandés dans ce cadre.
2. Le Client doit informer immédiatement le Prestataire de tout changement d’identité, de gestion, d’actionnariat, de bénéficiaires effectifs, d’activités, de profil de risque, de financement ou d’autres données pertinentes.
3. Si le Client ne coopère pas suffisamment, refuse de fournir des informations, ou si le Prestataire ne peut, en vertu de ses obligations légales ou déontologiques, entamer ou poursuivre la collaboration, il peut refuser, suspendre ou résilier immédiatement la mission sans indemnité.
4. Le Prestataire peut être légalement tenu de signaler certaines informations aux autorités compétentes. Le Client reconnaît que le Prestataire ne peut, dans ce cas, invoquer le secret professionnel ou la confidentialité contractuelle à l’encontre de cette obligation légale de signalement.
Article 14 : Communication électronique, logiciels et échange de données
1. Les Parties acceptent l’utilisation du courrier électronique, des signatures électroniques, des portails clients, des logiciels comptables, des applications cloud, des portails gouvernementaux et d’autres moyens de communication numériques pour l’exécution de la mission.
2. La communication électronique comporte des risques, dont la perte, le retard, l’erreur, l’interception, l’altération, le phishing, les logiciels malveillants, les pannes techniques ou l’accès non autorisé. Le Client accepte ces risques et est responsable de la sécurité de ses propres systèmes, boîtes aux lettres, accès, mots de passe et droits d’utilisateur.
3. Le Prestataire n’est pas responsable des dommages résultant de pannes techniques, d’incidents cyber, d’indisponibilité, d’erreurs ou de modifications de logiciels, plateformes, réseaux, points d’accès, applications bancaires ou portails gouvernementaux, sauf en cas de faute intentionnelle ou lourde de MLL Boekhouding.
Article 15 : Confidentialité, secret professionnel et propriété intellectuelle
1. Le Prestataire respecte le secret professionnel et ses obligations de confidentialité conformément à la législation applicable, aux règles professionnelles et aux obligations déontologiques qui lui sont applicables, sauf exceptions légales ou déontologiques, dont les obligations en matière de lutte contre le blanchiment.
2. Le Prestataire s’engage à s’abstenir de tout usage ou divulgation illicite de tout secret d’affaires au sens de l’article I.17/1, 1°, du Code de droit économique, dont lui-même, ses administrateurs, employés, préposés, collaborateurs indépendants, sous-traitants ou autres auxiliaires ont eu connaissance lors de l’exécution de la mission, conformément à l’article XI.332/4 du même Code.
3. Le Prestataire s’engage à ne divulguer ni rendre publiques à des tiers aucune information commerciale confidentielle, donnée confidentielle, affaire personnelle ou autre information non publique relative au Client dont il aurait connaissance dans le cadre des Services, sauf dans la mesure où cela est nécessaire à l’exécution de la mission, requis légalement ou déontologiquement, ou autorisé par le Client.
4. Le Prestataire veille à ce que ses administrateurs, employés, préposés, collaborateurs indépendants, sous- traitants ou autres auxiliaires ayant accès à des informations confidentielles soient liés par une obligation de confidentialité légale, contractuelle ou professionnelle.
5. L’obligation de confidentialité s’applique pendant toute la durée de la collaboration et subsiste après sa fin.
6. Les dispositions du présent article ne s’appliquent pas aux informations :
a) qui sont déjà licitement accessibles au public ou le deviennent ultérieurement, sans que cela résulte d’une violation des présentes conditions ou de la lettre de mission ;
b) dont le Prestataire peut démontrer qu’il les connaissait déjà licitement avant leur communication par le Client;
c) qui ont été obtenues licitement d’un tiers non lié par une obligation de confidentialité ;
d) dont la divulgation est requise en vertu d’une disposition légale, d’une règle professionnelle, d’une obligation déontologique, d’une décision judiciaire ou d’un ordre d’une autorité administrative compétente, en ce compris les obligations découlant de la législation applicable en matière de prévention du blanchiment de capitaux et du financement du terrorisme.
7. Tous les droits de propriété intellectuelle, méthodes, modèles, textes, avis, calculs, outils, modèles types, rapports, analyses, méthodes de travail, configurations logicielles et documentation développés ou utilisés par lui restent la propriété exclusive du Prestataire, sauf convention écrite contraire expresse.
8. Le Client ne peut utiliser ces matériaux qu’à des fins internes et pour l’objectif pour lequel ils ont été fournis.
La copie, la diffusion, la publication, la commercialisation ou la cession à des tiers sont interdites sans l’autorisation écrite préalable du Prestataire.
Article 16 : Traitement des données à caractère personnel
1. Le Prestataire traite les données à caractère personnel conformément à la législation applicable en matière de protection de la vie privée et à sa Déclaration de confidentialité et Convention de sous-traitance, toujours consultable sur https://www.mllboekhouding.be/.
2. Dans la mesure où MLL Boekhouding agit, dans le cadre de la mission, en qualité de sous-traitant au sens du RGPD, les dispositions de cette Déclaration de confidentialité et Convention de sous-traitance s’appliquent au traitement des données à caractère personnel pour le compte du Client.
3. Le Client garantit que les données à caractère personnel qu’il communique au Prestataire ont été obtenues licitement et peuvent lui être communiquées pour l’exécution de la mission. Le Client reste responsable de l’exactitude, de l’exhaustivité et de la licéité de ces données.
4. Le Prestataire prend des mesures techniques et organisationnelles appropriées pour protéger les données à caractère personnel et ne les conserve pas plus longtemps que nécessaire ou légalement requis.
Article 17 : Force majeure
1. Le Prestataire n’est pas responsable des retards, manquements ou dommages résultant d’un cas de force majeure ou de circonstances échappant à son contrôle raisonnable, dont la maladie, la grève, l’incendie, la panne de courant, l’incident cyber, le dysfonctionnement de logiciels ou de plateformes gouvernementales, les mesures gouvernementales, l’épidémie, la guerre, l’inondation, la panne de réseau ou les manquements de tiers.
2. Si la situation de force majeure dure plus de deux mois, chaque partie peut résilier la convention sans indemnité, sans préjudice de l’obligation du Client de payer les prestations, frais et avances déjà fournis.
Article 18 : Non-sollicitation de collaborateurs
1. Pendant la collaboration et pendant 12 mois après sa fin, le Client s’engage à ne pas recruter, engager ou collaborer structurellement, directement ou indirectement, avec des employés, préposés, collaborateurs indépendants, sous-traitants ou autres collaborateurs structurels du Prestataire, sans l’autorisation écrite préalable du Prestataire.
2. En cas de violation de cette disposition, le Client est redevable de plein droit et sans mise en demeure d’une indemnité forfaitaire de 50.000,00 EUR par personne concernée, sans préjudice du droit du Prestataire de prouver un dommage réel plus élevé.
Article 19 : Cession, modification, divisibilité, preuve et litiges
1. Le Prestataire peut, en dehors de l’application des opérations définies aux articles 12:2 à 12:11 du Code des sociétés et des associations, céder la présente convention ou sa clientèle à une personne morale agréée par l’ITAA. Dans ce cas, le Prestataire informe le Client par écrit, au plus tard dans les quinze jours suivant la cession, de toutes les données du cessionnaire, en ce compris son numéro d’inscription au registre public de l’ITAA, la date de la cession et le fait que la mission sera poursuivie par le cessionnaire. Le Client et le Prestataire reconnaissent et acceptent que la convention se poursuit dans ce cas avec le cessionnaire, aux mêmes conditions que celles initialement convenues entre les Parties, sauf accord écrit contraire.
2. Le Prestataire peut modifier les présentes conditions générales. La nouvelle version s’applique aux nouvelles missions et, pour les missions en cours, à partir de sa notification ou publication, sauf si le Client s’y oppose par écrit dans les 15 jours calendrier. En cas d’opposition, le Prestataire peut résilier la collaboration en respectant le préavis contractuel.
3. Si une disposition est totalement ou partiellement invalide, nulle ou inapplicable, les autres dispositions restent pleinement en vigueur. La disposition invalide est remplacée par une disposition valable se rapprochant le plus possible de l’objectif initial.
4. Les signatures électroniques, signatures scannées, e-mails, documents numériques, données de portail et journaux électroniques peuvent être utilisés comme preuve valable, sauf preuve contraire.
5. Le droit belge est applicable. Les Parties s’efforcent d’abord de résoudre les litiges par écrit et en concertation.
À défaut d’accord, seuls les tribunaux et cours de l’arrondissement judiciaire de Louvain sont compétents, sauf droit impératif contraire.
TITRE II. CONDITIONS PARTICULIÈRES POUR LES FORMATIONS, TRAININGS, COACHING ET ÉVÉNEMENTS
Article 20 : Application
1. Ces conditions particulières s’appliquent à toutes les formations, séminaires, trainings, coachings, ateliers, événements et services similaires proposés par MLL Boekhouding. Elles complètent le Titre I et priment dans la mesure où elles y seraient contraires.
Article 21 : Inscription et conclusion de la convention
1. Les inscriptions s’effectuent par écrit ou par voie électronique. Une convention n’est formée qu’après confirmation écrite ou électronique par le Prestataire. Le Prestataire peut refuser ou limiter des inscriptions sans motivation lorsque cela se justifie sur le plan organisationnel, du contenu ou déontologique.
Article 22 : Paiement des formations et événements
1. Les factures pour les formations, trainings, coachings et événements sont payables dans les 14 jours calendrier suivant la date de facture, ou au plus tard avant le début si la facture a été établie moins de 14 jours calendrier avant le début.
2. En cas de paiement tardif, le Prestataire peut refuser l’accès à la formation, au training, au coaching ou à l’événement, sans que cela n’affecte l’obligation de paiement du Client. En cas de paiement tardif, les mêmes intérêts, indemnités et frais de recouvrement que ceux prévus à l’article 9 sont dus, avec une indemnité forfaitaire de 10 % du montant de la facture et un minimum de 250,00 EUR.
Article 23 : Annulation, report et remplacement
1. L’annulation par le Client ne peut se faire que par écrit. En cas d’annulation jusqu’à 14 jours calendrier avant le début, 50 % du prix est dû. En cas d’annulation tardive ou d’absence, le prix intégral est dû.
2. Le Prestataire peut annuler, reporter, organiser numériquement ou adapter le contenu des formations, trainings, coachings ou événements en cas de force majeure, d’inscriptions insuffisantes, de maladie, de raisons organisationnelles ou d’autres motifs valables. Les frais d’inscription déjà payés sont, dans ce cas, remboursés ou, en concertation, reportés à une nouvelle date.
3. Les participants peuvent se faire remplacer moyennant une notification écrite préalable et l’accord de MLL Boekhouding. La revente ou la cession d’inscriptions à des tiers est interdite sans l’accord de MLL Boekhouding.
Article 24 : Documentation et propriété intellectuelle liées aux formations
1. Toute la documentation, présentations, modèles, gabarits, enregistrements, méthodes et autres matériaux fournis dans le cadre de formations, trainings, coachings ou événements restent la propriété intellectuelle du Prestataire ou de ses concédants de licence.
2. Ces matériaux ne peuvent être copiés, enregistrés, diffusés, publiés, revendus, partagés ou utilisés commercialement sans l’autorisation écrite préalable de MLL Boekhouding.
Article 25 : Responsabilité liée aux formations
1. Les informations fournies lors des formations, trainings, coachings ou événements sont de nature générale et ne constituent pas un avis comptable, fiscal, juridique ou financier individuel, sauf convention écrite expresse contraire.
2. MLL Boekhouding n’est pas responsable des dommages résultant de l’utilisation d’informations générales de formation, ni des pertes, vols, accidents ou dommages survenus avant, pendant ou après une formation, un training, un coaching ou un événement, sauf faute intentionnelle ou lourde de MLL Boekhouding.
Article 26 : Dispositions diverses pour les formations
1. Les dispositions du Titre I, en particulier les articles relatifs au paiement, à la responsabilité, à la propriété intellectuelle, aux données à caractère personnel, à la force majeure, à la preuve, au droit applicable et aux litiges, s’appliquent par analogie aux présentes conditions particulières.
